These Terms of Use (“Terms”) govern your access to and use of the website at www.tributariesfp.com and all related content, tools, and services (collectively, the “Site”) operated by Tributaries Financial Planning LLC (“Tributaries Financial Planning,” “we,” “us,” or “our”).
By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.
These Terms apply to all visitors, subscribers, and users of the Site. If you become a client, your relationship with us is additionally governed by a written advisory agreement, which controls in the event of a conflict with these Terms regarding advisory matters.
1. No Advisory Relationship
Use of the Site does not create an advisory or client relationship with Tributaries Financial Planning. An advisory relationship is established only when both parties sign a written advisory agreement that sets out the scope of services. Information made available on the Site is general in nature, is provided for educational purposes, and is not individualized investment, financial, tax, or legal advice. Tributaries Financial Planning is registered as an investment adviser only in the states where it is registered or is exempt from registration. The Site is not an offer or solicitation to provide advisory services in any place where Tributaries Financial Planning is not registered or exempt, and the Site is not directed to any person in a location where its content would be unlawful.
2. Eligibility
The Site and any account creation are limited to individuals who are 18 years of age or older. By using the Site or creating an account, you represent that you are at least 18 years old and that any information you provide is accurate. The Site is not directed to children, and Tributaries Financial Planning does not knowingly collect personal information from anyone under 13 years of age. If Tributaries Financial Planning learns that it has collected personal information from a child under 13, it will delete that information.
3. Account Registration
Some features of the Site may require you to create an account or submit information through a form. When you register or submit information, you agree to:
- Provide accurate, current, and complete information.
- Maintain the security and confidentiality of any login credentials.
- Notify us promptly if you become aware of unauthorized use of your account.

5.1 Our Content
All content on the Site, including text, graphics, logos, images, guides, checklists, worksheets, recordings, blog posts, and other materials, is the property of Tributaries Financial Planning or its content contributors and is protected by applicable intellectual property laws.
You may not reproduce, distribute, modify, create derivative works from, publicly display, or commercially exploit any content from the Site without our prior written consent.
5.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Site and its content for your personal, non-commercial use, subject to these Terms. This license does not include the right to download, copy, or save content for redistribution, except where we expressly provide a downloadable resource for personal use.
5.3 Trademarks
The Tributaries Financial Planning name, logo, and related branding are our trademarks. You may not use them without our prior written consent.
6. User-Submitted Content
If you submit content to us through the Site, including intake form responses, messages, feedback, or other materials, you grant us a non-exclusive, royalty-free right to use that content as necessary to respond to your inquiry and provide our services. We will handle all user-submitted content in accordance with our Privacy Notice and, where applicable, our privacy policy governing nonpublic personal financial information.
You represent that any content you submit is accurate, does not violate the rights of any third party, and does not contain any unlawful material.
7. Newsletter and Email Communications
By creating an account or subscribing to our newsletter, you consent to receive email communications from Tributaries Financial Planning, including newsletters, educational content, and service-related updates. By using the Site, you also agree that Tributaries Financial Planning may provide these Terms, the Privacy Notice, and other notices to you electronically, and that electronic delivery has the same legal effect as a paper copy.
You may unsubscribe from non-essential emails at any time using the unsubscribe link in any email. Communications related to an active advisory relationship are required and cannot be opted out of while that relationship is active.
8. Third-Party Links and Services
The Site may contain links to third-party websites, tools, or services that are not owned or controlled by Tributaries Financial Planning. We provide these links for convenience and do not endorse or assume responsibility for the content, privacy practices, or terms of any third-party site. Your use of third-party sites and services is at your own risk and subject to their terms and policies.
9. Disclaimer of Warranties
THE SITE AND ALL CONTENT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TRIBUTARIES FINANCIAL PLANNING MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SITE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR TIMELINESS OF ANY CONTENT ON THE SITE.

10. Limitation of Liability
To the fullest extent permitted by law, Tributaries Financial Planning and its owners, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Site, including but not limited to damages for loss of data, loss of profits, or other intangible losses.
Our total liability for any claim arising out of or related to these Terms or your use of the Site is limited to the amount you have paid to Tributaries Financial Planning, if any, in the 12 months preceding the claim, or one hundred dollars (US$100), whichever is greater. Nothing in these Terms limits or waives any right of action or remedy available to you under applicable federal or state securities laws, and these Terms are not intended to constitute a waiver of compliance with those laws.
If you are a client, the limitation of liability provisions in your advisory agreement apply to advisory matters.
11. Indemnification
You agree to indemnify, defend, and hold harmless Tributaries Financial Planning and its owners, employees, and contractors from any claims, liabilities, damages, losses, or expenses (including reasonable legal fees) arising from your use of the Site, your violation of these Terms, or your violation of any rights of a third party. This obligation does not apply to any claim to the extent it results from the negligence or willful misconduct of Tributaries Financial Planning.
12. Privacy
Your use of the Site is also governed by our Privacy Notice, available at tributariesfp.com/privacy. By using the Site, you consent to the collection and use of information as described in the Privacy Notice.
13. Governing Law and Venue
These Terms are governed by the laws of the State of Maine, without regard to conflict of law principles, except to the extent that federal securities laws are controlling.
Before pursuing any formal proceeding, the parties will first attempt to resolve any dispute informally by contacting Tributaries Financial Planning at ben@tributariesfp.com. Any litigation, suit, or other proceeding arising out of or related to these Terms will take place in the state or federal courts located in the State of Maine, and you consent to the personal jurisdiction of those courts, unless otherwise required by applicable law or agreed in writing.
Dispute Resolution and Arbitration. Except for the matters described below, you and Tributaries Financial Planning agree to resolve any dispute arising out of or relating to these Terms or your use of the Site through final and binding individual arbitration administered by the American Arbitration Association under its Consumer Arbitration Rules. This section does not apply to any dispute arising from an advisory relationship, which your advisory agreement governs, and it does not apply to any claim under the federal or state securities laws or to any other claim that cannot be arbitrated under applicable law. Either party may instead bring an individual claim in small claims court.
Class Action Waiver. You and Tributaries Financial Planning agree that each may bring claims against the other only in an individual capacity, and not as a plaintiff or class member in any class, consolidated, or representative proceeding.
Opt-Out. You may opt out of this arbitration agreement by sending written notice to Tributaries Financial Planning at the email address below within 30 days after you first accept these Terms. If you opt out, any dispute will proceed in the courts identified above.
Jury Trial Waiver. If a dispute proceeds in court rather than arbitration, you and Tributaries Financial Planning each waive any right to a jury trial to the fullest extent permitted by law.
Time Limit on Claims. Any claim arising out of or relating to the Site or these Terms must be filed within one year after the claim arose, unless a longer period is required by law. This limit does not apply to any claim under the federal or state securities laws.
14. Modifications to These Terms
We may update these Terms from time to time. The updated version will be posted on the Site with a revised date. Your continued use of the Site after changes are posted constitutes your acceptance of the updated Terms. If we make material changes, we will make reasonable efforts to notify registered users by email or through a notice on the Site. Changes apply only to your use of the Site after they take effect and do not apply to any dispute that arose before the change. If you do not agree to a change, you must stop using the Site.
15. Termination
We reserve the right to suspend or terminate your access to the Site at any time, with or without notice, for conduct that we believe violates these Terms, is harmful to other users, or is otherwise objectionable. If your access is terminated, your right to use the Site ceases immediately. Provisions of these Terms that by their nature should survive termination (including intellectual property, limitation of liability, indemnification, and governing law) will remain in effect.
16. Severability
If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or removed to the minimum extent necessary, and the remaining provisions will continue in full force and effect.
17. Entire Agreement
These Terms, together with the Privacy Notice and Disclaimer, constitute the entire agreement between you and Tributaries Financial Planning regarding your use of the Site as a visitor. For clients, a separate written advisory agreement also applies and controls with respect to advisory matters.
18. Assignment
Tributaries Financial Planning may assign or transfer these Terms, in whole or in part, to any successor or in connection with a merger, sale, or reorganization of its business. You may not assign or transfer your rights or obligations under these Terms without the prior written consent of Tributaries Financial Planning. Any attempted assignment that violates this section is void.
19. No Waiver
A failure or delay by Tributaries Financial Planning in enforcing any part of these Terms is not a waiver of its right to enforce that part later. A waiver of any provision is effective only if it is in writing and signed by Tributaries Financial Planning.
20. Force Majeure
Tributaries Financial Planning is not liable for any delay or failure to perform caused by events beyond its reasonable control, including acts of nature, outages, failures of networks or service providers, labor disputes, or government action.
